the legislation landscape
The introduction of the IR35 legislation in April 2000 sought to remove the current practices of individual contractors operating as businesses using various structures to claim inapproriate deductions, and generally remit lower levels of tax and national insurance.
IR35 seeks to determine whether you are operating, in effect, as an employee of the client organisation or whether you are genuinely operating a business.
Historically single person companies have been set up to reduce the amount of taxation paid and dividend payments received lowering the overall national insurance contribution.
Over the last eight years IR35 legislation is being used to combat many products, and a number of innovative solutions have been developed offering a range of so-called 'friendly' contracting arrangements and insurance alternatives.
Despite IR35 requirements many Limited Company providers still exist and promote the use of such operating vehicles to the contracting industry. It is critical that before you choose any provider you conduct detailed research into the products and services offered by providers, as primary liability for taxation and national insurance may rest wity you.

msc legislation am i affected?
In Budget 2007 the governmet introduced legislation relating to Managed Service Comapnies (MSCs). The consequence of this legislation is that MSCs treat all payments received by workers providing their services through such companies, as income subject to PAYE and Class 1 National Insurance.
Key to this legislation is the existence of an MSC Provider involved with a client company. An MSC is defined as 'a person who carries on a business of promoting and facilitating the use of companies to provide the services of individuals'.
There are a number determinations for the MSC legislation to be applicable. Foremostly, the service provider must both fulfil the definition of an MSC Provider and be involved with their client service companies.
Specifically but not exclusively the legislation is aimed at:

Service Providers specialising in providing services to individuals providing their services through companies

Accountants, Tax Advisors and other advisors

Persons providing their services through companies

Other persons providing their services to companies

Employment businesses / agencies
Freelance is not an MSC Provider. Contractors employing our services for engagement arrangements will not be subject to this legislation.
